This document is published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, requiring the publication of rules and regulations, privacy policy, and Terms of Use for access or usage of the domain name payments.shastra-solutions.com/bill-o-bill ("Website") and related mobile site (collectively referred to as the "Platform").

The Platform is owned and operated by Shastra Solutions Private Limited, managed by Shastra Solutions Private Limited, with its registered office at 201, Jura Palace, Liberty Garden, Road No. 3, Malad (West), Mumbai 400064, Maharashtra, India (hereinafter referred to as "we", "us", or "our").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use or access the Platform.

These Terms & Conditions govern the access, purchase, subscription and use of Bill-o-Bill, a product/service offered by Shastra Solutions Private Limited.

2. About Bill-o-Bill

Bill-o-Bill is a digital accounting automation and compliance workflow platform designed for Chartered Accountants, accounting firms, MSMEs, businesses, finance teams and professionals involved in accounting, compliance, taxation, reporting and financial operations.

The platform may include features such as invoicing, expense management, document processing, accounting workflows, reconciliation, compliance support, dashboards, reports, automation tools, AI-assisted suggestions and other related business/accounting tools.

The features available to a user may depend on the selected plan, commercial arrangement, product version, subscription type, onboarding status and technical availability.

3. Acceptance of Terms

By using the Bill-o-Bill platform or completing a payment for Bill-o-Bill, you confirm that:

  • You have read, understood and agreed to these Terms & Conditions.
  • You have reviewed the pricing, product details, plan details and payment terms before making payment.
  • You are legally competent to enter into a binding agreement.
  • You are using the product for lawful business, professional or organisational purposes.
  • If you are using the platform on behalf of a company, firm, LLP, partnership, proprietorship, client or any other organisation, you confirm that you are authorised to accept these Terms on their behalf.

4. Eligibility

1.1 Eligibility: Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. If you are a minor (under the age of 18 years), you shall not register as a User of the Platform and shall not transact on or use the Platform.

To use Bill-o-Bill, you must be at least 18 years of age and legally capable of entering into a contract under applicable law. The platform is intended for business and professional use. It is not intended for personal, household or consumer use unless specifically stated otherwise.

Shastra Solutions Private Limited reserves the right to deny access, suspend accounts or refuse service if the user is found to be ineligible, unauthorised, in breach of these Terms or involved in any unlawful or suspicious activity.

5. User Account and Registration

Users may be required to create an account or provide information such as name, email address, mobile number, firm name, company name, GSTIN, PAN, billing details, address, user role and other relevant information.

1.3 Accurate Information: You agree to provide current, complete, and accurate information during the registration and ordering process and to update such information to keep it current.

1.2 Account Responsibility: You are responsible for maintaining the confidentiality of your account details, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You are responsible for all activity carried out through your account. You must immediately inform Shastra Solutions Private Limited if you suspect unauthorised access, misuse, breach of security or compromise of login credentials.

Shastra Solutions Private Limited shall not be liable for any loss or damage arising from unauthorised account access caused by user negligence, weak passwords, shared credentials or compromised devices.

6. Product Plans, Pricing and Taxes

The pricing, plan details, duration, inclusions, exclusions, usage limits, onboarding scope, support scope and applicable taxes will be mentioned on the payment page, quotation, invoice, proposal, email communication or any other official communication issued by Shastra Solutions Private Limited.

All prices are subject to applicable taxes unless specifically mentioned otherwise.

Shastra Solutions Private Limited reserves the right to revise pricing, plan structures, feature availability, usage limits, support levels and commercial terms from time to time.

Any change in pricing or plan terms may apply to new purchases, renewals, upgrades or future billing cycles, unless otherwise agreed in writing.

7. Payment Terms

Payments for Bill-o-Bill must be made through the payment methods made available by Shastra Solutions Private Limited or its authorised payment gateway/service provider.

A payment shall be considered successful only when the amount is received and confirmed by Shastra Solutions Private Limited or its payment gateway/service provider.

Shastra Solutions Private Limited is not responsible for payment failures, bank delays, gateway downtime, incorrect payment details, failed authorisations, payment declines or delays caused by banks, card networks, UPI providers, payment gateways or other third-party systems.

The user is responsible for ensuring that payment is made using a valid and authorised payment method.

8. Activation of Services

Access to Bill-o-Bill may be activated after successful payment confirmation and completion of any required onboarding, verification or account setup process.

Activation may depend on factors such as plan selection, payment confirmation, business details, technical setup, internal verification, user information and onboarding requirements.

Shastra Solutions Private Limited may delay or withhold activation if required information is incomplete, inaccurate, suspicious or not provided by the user.

9. No Refund Policy

All payments made for Bill-o-Bill are final and non-refundable, except in specific cases mentioned in the Refund & Cancellation Policy.

Refunds shall not be provided for change of mind, non-usage, cancellation after payment, feature expectation mismatch, user-side operational issues, delay in onboarding caused by the user, incorrect plan selection by the user or any other reason not expressly approved by Shastra Solutions Private Limited.

Users are advised to review the product details, pricing, plan terms, features, limitations and refund policy carefully before making payment.

10. User Responsibilities

The user agrees to use Bill-o-Bill responsibly, lawfully and only for authorised purposes.

The user is responsible for:

  • Providing accurate account, billing and business information.
  • Ensuring that all data uploaded to the platform is lawful and authorised.
  • Obtaining necessary permissions, consents and approvals before uploading client, employee, vendor, financial, tax, accounting or third-party data.
  • Reviewing all system-generated, automated or AI-assisted outputs before relying on them.
  • Complying with applicable accounting, tax, GST, TDS, income tax, company law, professional, contractual and data protection obligations.
  • Maintaining the confidentiality of user credentials and internal access controls.
  • Ensuring that users, employees, staff, consultants, clients or representatives accessing the platform comply with these Terms.

11. Prohibited Activities and User Conduct

5.1 You agree not to:

  • Upload, post, or distribute any content that is harmful, abusive, harassing, defamatory, vulgar, obscene, or illegal.
  • Violate the intellectual property rights or proprietary rights of others.
  • Misuse the Platform for fraudulent or malicious purposes, including transmitting viruses, malware, ransomware, or other harmful code.
  • Interfere with the functioning of the Platform or introduce software, scripts, or manual methods to monitor, copy, scrape, reverse engineer, decompile, or disrupt the Platform's operation.
  • Use Bill-o-Bill for any other illegal, fraudulent, unauthorised, or harmful purpose.
  • Attempt to gain unauthorised access to any system, account, server, database, source code, or user data.
  • Share access credentials with unauthorised persons.
  • Use the platform to create, train, support, or develop a competing product or service.
  • Resell, sublicense, rent, lease, distribute, or commercially exploit the platform without written permission.

5.2 Violation of these terms may result in the immediate termination of your access and potential legal action. Shastra Solutions Private Limited reserves the right to suspend or terminate access if prohibited use is detected or suspected.

12. AI, Automation and System-Generated Outputs

Bill-o-Bill may use automation, OCR, rule-based processing, AI-assisted categorisation, reconciliation logic, document extraction, report generation, workflow automation and other intelligent features.

Such features are intended to assist users in improving speed, accuracy, visibility and efficiency of accounting and compliance-related workflows.

However, AI-assisted, automated or system-generated outputs may not always be complete, accurate, suitable for every use case or free from error.

The user remains fully responsible for reviewing, verifying and validating all outputs before using them for accounting, tax filing, compliance, audit, reporting, financial decision-making or submission to any authority.

Bill-o-Bill does not replace professional judgement, Chartered Accountant review, statutory audit, legal advice, tax advice or final compliance responsibility.

13. No Professional Advice

Bill-o-Bill is a technology platform.

Any information, report, suggestion, classification, categorisation, reconciliation, calculation, alert or output generated through the platform is provided for operational assistance only.

The platform does not provide legal advice, tax advice, audit opinion, investment advice, financial advisory services or statutory certification.

Users should consult qualified professionals before relying on any output for statutory, legal, tax, compliance, audit or financial decision-making purposes.

14. Data Ownership

All business data, accounting data, financial data, tax data, uploaded documents, invoices, bank statements, ledgers, reports, prompts, outputs, client records and other information uploaded or processed by the user through Bill-o-Bill shall remain the property of the user or the respective lawful owner of such data.

Shastra Solutions Private Limited does not claim ownership over user data or customer business data uploaded to Bill-o-Bill.

The user grants Shastra Solutions Private Limited a limited right to process such data only for the purpose of providing, operating, securing, supporting and improving Bill-o-Bill and related services, subject to the Privacy Policy.

15. No Sale of Data

Shastra Solutions Private Limited will never sell, rent, trade, license, monetise or commercially exploit user data, customer data, business data, financial data, accounting data, tax data, uploaded documents, prompts or AI outputs to any third party for advertising, marketing, profiling, resale, model resale, third-party training or any unrelated commercial purpose.

Where third-party service providers are used for hosting, payment processing, communication, infrastructure, analytics, support, security or other service delivery purposes, such providers shall be permitted to process data only to the extent necessary to provide the relevant service.

Such third-party providers are not permitted to use Bill-o-Bill user data for their own independent commercial purposes.

16. Data Privacy and Security

Use of personal data, business data and uploaded information shall be governed by the Privacy Policy of Shastra Solutions Private Limited.

Shastra Solutions Private Limited shall take reasonable technical, operational and organisational measures to protect user data against unauthorised access, loss, misuse, alteration or disclosure.

However, no digital platform, internet-based service, server, software or transmission system can be guaranteed to be completely secure.

The user is responsible for maintaining secure passwords, restricting internal access, using trusted devices and ensuring that account access is not shared with unauthorised persons.

17. Third-Party Services

Bill-o-Bill may rely on third-party service providers for payment processing, hosting, cloud infrastructure, servers, email, SMS, WhatsApp communication, analytics, customer support, security, integrations, backups or other operational requirements.

Shastra Solutions Private Limited is not responsible for failures, delays, outages, downtime, data loss, transaction delays or service interruptions caused by third-party service providers, banks, payment gateways, telecom providers, internet providers, hosting providers or external systems.

Use of third-party services may also be subject to the terms and policies of such third-party providers.

18. Integrations and External Systems

Bill-o-Bill may offer integrations, imports, exports, APIs or data exchange options with external software, portals, payment systems, accounting systems, tax systems, communication systems or other third-party tools.

Availability of such integrations may depend on technical feasibility, third-party permissions, API access, regulatory permissions, user plan, system compatibility and commercial arrangements.

Shastra Solutions Private Limited does not guarantee uninterrupted, permanent or error-free availability of any third-party integration.

If a third-party system changes its API, rules, access terms, pricing, availability or technical structure, some Bill-o-Bill features may be affected.

19. Service Availability and Maintenance

Shastra Solutions Private Limited will make reasonable efforts to keep Bill-o-Bill available and functional.

However, the platform may be temporarily unavailable due to maintenance, upgrades, bug fixes, server issues, security updates, third-party failures, internet issues, infrastructure problems, cyber incidents, force majeure events or other circumstances beyond reasonable control.

Shastra Solutions Private Limited shall not be liable for any loss, delay, disruption, missed deadline, business interruption or inconvenience caused by service downtime or temporary unavailability.

20. Support

Support may be provided through email, phone, chat, ticketing system, onboarding calls, documentation or any other support channel decided by Shastra Solutions Private Limited.

Support availability, response time, onboarding assistance, training, implementation and custom assistance may vary depending on the selected plan or commercial arrangement.

Support does not include professional accounting advice, tax advice, legal advice, statutory certification, audit review or compliance filing responsibility unless specifically agreed in writing.

21. User Data Backup

Shastra Solutions Private Limited may maintain backups as part of its internal operational, security or disaster recovery practices.

However, users are advised to independently maintain copies of important accounting records, tax documents, invoices, reports, ledgers, statutory filings, acknowledgements and other critical business data.

Shastra Solutions Private Limited shall not be liable for loss of user data caused by user error, deletion, incorrect uploads, unauthorised access, third-party failure, force majeure event or any event beyond reasonable control.

22. Intellectual Property Rights (IPR)

4.1 Ownership: All content on the Platform, including logos, trademarks, text, graphics, Product images, descriptions, software, and underlying source code, are the intellectual property of Shastra Solutions Private Limited or its licensors.

All rights, title and interest in Bill-o-Bill, including but not limited to software, source code, object code, user interface, workflows, designs, dashboards, automation logic, AI models, documentation, trademarks, logos, brand name, content, databases, reports, templates, icons, layouts, business processes and product architecture, belong to Shastra Solutions Private Limited or its licensors. No ownership rights are transferred to the user.

The user receives only a limited, non-exclusive, non-transferable, revocable right to access and use Bill-o-Bill in accordance with the subscribed plan and these Terms.

4.2 Usage Restriction: You acknowledge and agree that you shall not copy, reproduce, republish, upload, post, transmit, or distribute any content from the Platform without obtaining prior written permission from us. Unauthorized use of this content is prohibited.

Without limiting the generality of the foregoing, the user shall not modify, distribute, sell, lease, reverse engineer, create derivative works or exploit any part of the platform without prior written permission.

23. Feedback and Suggestions

Users may provide suggestions, feedback, ideas, feature requests, recommendations or improvement inputs regarding Bill-o-Bill.

By providing such feedback, the user agrees that Shastra Solutions Private Limited may use, modify, implement or incorporate such feedback into the platform without restriction, compensation or obligation, provided that user confidential data is not disclosed.

24. Confidentiality

Both parties agree to protect confidential information received from the other party.

Confidential information may include business information, product information, pricing, software details, technical data, client information, financial records, tax information, commercial discussions, login credentials and non-public information.

The user shall not disclose platform access, pricing, product documentation, internal features, technical details or confidential communications to unauthorised third parties without written permission.

Shastra Solutions Private Limited shall take reasonable measures to protect confidential user data in accordance with its Privacy Policy.

25. Suspension of Access

Shastra Solutions Private Limited may suspend or restrict access to Bill-o-Bill if:

  • Payment is pending, failed, reversed or disputed.
  • The user breaches these Terms.
  • The user engages in misuse, fraud or unauthorised activity.
  • The account creates a security risk.
  • The user provides false or incomplete information.
  • The user violates applicable law or third-party rights.
  • The user attempts to access systems or data without authorisation.

Suspension may continue until the issue is resolved to the satisfaction of Shastra Solutions Private Limited.

26. Termination

Shastra Solutions Private Limited may terminate access to Bill-o-Bill if the user materially breaches these Terms, misuses the platform, violates applicable law, fails to make payment, creates security risk or engages in fraudulent or harmful activity.

The user may stop using the platform at any time. However, stopping usage, non-usage or voluntary discontinuation shall not entitle the user to a refund.

Upon termination, access to the platform may be disabled, and data may be retained or deleted in accordance with the Privacy Policy, legal requirements, backup practices and internal data retention policies.

27. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties: The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the operation of the Platform or the information, content, materials, or products included on the Platform.

6.2 Limitation of Liability: We shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including loss of profits, data, or goodwill) arising from your use or inability to use our Platform or Products.

To the maximum extent permitted by law, Shastra Solutions Private Limited shall not be liable for any indirect, incidental, special, punitive, exemplary or consequential losses or damages. This includes loss of profit, loss of revenue, loss of business opportunity, loss of data, loss of goodwill, compliance penalties, missed statutory deadlines, tax liabilities, audit issues, third-party claims, business interruption or financial losses arising from use or inability to use the platform.

The total liability of Shastra Solutions Private Limited, whether in contract, tort, negligence, strict liability or otherwise, shall not exceed the amount paid by the user to Shastra Solutions Private Limited for Bill-o-Bill during the preceding 12 months for the specific service giving rise to the claim.

28. Indemnity & Indemnification

5. Indemnification: You agree to indemnify, defend, and hold harmless Shastra Solutions Private Limited, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including attorney's fees) arising out of or in connection with your breach of these Terms, or arising from:

  • Misuse of the platform.
  • Unauthorised upload or processing of third-party data.
  • Incorrect, false or unlawful data provided by the user.
  • Violation of applicable law or professional obligations.
  • Use of platform outputs without proper review or verification.
  • Claims raised by clients, employees, vendors, authorities or third parties due to user action or omission.

29. Force Majeure

Shastra Solutions Private Limited shall not be liable for delay, failure or interruption caused by events beyond its reasonable control.

Such events may include natural disasters, fire, flood, pandemic, cyberattack, war, civil unrest, government action, regulatory restriction, court order, power failure, internet failure, server failure, payment gateway failure, banking disruption, telecom disruption, third-party outage or any other event beyond reasonable control.

30. Changes to Product or Services

Shastra Solutions Private Limited may improve, modify, enhance, suspend, discontinue or replace any feature, module, workflow, plan, interface or service component of Bill-o-Bill from time to time.

Certain features may be released in phases, beta mode, pilot mode or limited-access mode.

Shastra Solutions Private Limited does not guarantee that every planned, proposed, beta or upcoming feature will be released within a specific timeline unless expressly agreed in writing.

31. Beta Features and Early Access

Some features may be offered as beta, pilot, trial, experimental or early-access features.

Such features may contain bugs, errors, limitations or incomplete functionality.

Shastra Solutions Private Limited may modify, suspend or remove beta features at any time.

Users should not rely on beta features for critical compliance, filing, statutory or business decisions without independent review.

32. Communications

By using Bill-o-Bill or making payment, the user agrees to receive service-related communications from Shastra Solutions Private Limited.

These may include account updates, payment confirmations, invoices, onboarding communication, support messages, security alerts, product updates, renewal reminders and important policy updates.

Marketing communications may be sent where permitted by law or with user consent, and users may opt out where applicable.

33. Assignment

The user may not assign, transfer or sublicense their rights or obligations under these Terms without prior written consent from Shastra Solutions Private Limited.

Shastra Solutions Private Limited may assign or transfer its rights and obligations to an affiliate, successor, acquirer, investor, group company or purchaser in connection with merger, restructuring, acquisition, sale of assets or business transfer.

34. Governing Law

8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

35. Jurisdiction

8.2 Jurisdiction: Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Shastra Solutions Private Limited will make reasonable efforts to respond to genuine queries and grievances within a reasonable period.

37. Entire Agreement

These Terms, along with the Privacy Policy, Refund & Cancellation Policy, invoice, proposal, order form, plan details or any written commercial agreement issued by Shastra Solutions Private Limited, constitute the complete understanding between the user and Shastra Solutions Private Limited regarding use of Bill-o-Bill.

If there is any conflict between these Terms and a separately signed written agreement, the signed written agreement shall prevail to the extent of such conflict.

38. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to remain valid and enforceable.

39. Updates to These Terms

Shastra Solutions Private Limited may update these Terms from time to time.

The updated Terms will be posted on the website, payment page or communicated through appropriate channels.

Continued use of Bill-o-Bill after such updates shall constitute acceptance of the revised Terms.

40. Payment Confirmation Declaration

By proceeding with payment, the user confirms that:

  • They have read and agreed to these Terms & Conditions.
  • They have read and agreed to the Privacy Policy.
  • They have read and agreed to the Refund & Cancellation Policy.
  • They understand that payments made for Bill-o-Bill are non-refundable except in limited verified payment-error cases.
  • They understand that Bill-o-Bill is a technology platform and does not replace professional review, tax advice, accounting judgement, audit opinion or legal advice.
  • They understand that user data, business data, accounting data, financial data, tax data and uploaded documents will not be sold by Shastra Solutions Private Limited to any third party for any purpose.
